Antique National Alliance Membership Agreement

This Membership Agreement ("Agreement") is entered into by and between Antique National Alliance, also dba ANA, (“Alliance”) , a Delaware for-profit corporation, and the member applicant ("Member").

1. Membership Application and Acceptance
The Member hereby applies for membership in the Alliance. This Agreement shall become effective upon the Alliance's acceptance of the Member's duly completed application and payment of the required membership fees.

2. Purpose of Membership
The purpose of this Agreement is to outline the terms, conditions, benefits, responsibilities, and expectations of membership in the Alliance. The Member agrees to join the Alliance in furtherance of the Alliance's mission to promote the common business interests of the Antique, Collectable, and Art industries.

3. Membership Term and Renewal
The initial term of membership shall be one year, commencing on the member’s initiation date and ending twelve months later. Unless otherwise specified, membership will automatically renew for successive one-year terms unless terminated by either party in accordance with this Agreement.

4. Membership Dues and Fees
The Member shall pay all applicable membership dues and fees as determined by the Alliance's Board of Directors. Dues are payable annually and/or according to the Alliance's established payment schedule. Failure to pay dues in a timely manner may result in the suspension or termination of membership.

5. Member Responsibilities and Conduct
The Member agrees to the following:

  • Abide by Governing Documents: Comply with all provisions of the Alliance's Articles of Incorporation, Bylaws, and any policies or codes of conduct, as they may be amended from time to time.

  • Professional Conduct: Conduct itself and its representatives in a professional, ethical, and legal manner at all Alliance’s events, meetings, and forums, whether in-person or virtual.

  • Antitrust Compliance: Adhere strictly to all applicable antitrust laws. The Member acknowledges that the Alliance provides a compliance policy, and the Member agrees to avoid discussions or conduct related to competitively sensitive information, such as pricing, production, or market allocation.

  • Accurate Representation: Accurately represent its affiliation with the Alliance.

  • Conflict of Interest: Disclose any potential conflicts of interest to the Alliance in accordance with the Alliance's policies.

  • No Unauthorized Use: Use the Alliance's name, logo, or other intellectual property only as expressly authorized by the Alliance.

6. Alliance Rights and Services

  • Membership Benefits: The Alliance agrees to provide the Member with access to the benefits and services associated with its membership level, such as access to events, industry resources, seminars, networking opportunities, and publications.

  • Amendment of Policies: The Alliance reserves the right to amend its bylaws, policies, and membership benefits at any time.

7. Termination of Membership

  • Termination by Member: The Member may terminate this Agreement by providing [Number] days' written notice to the Alliance. Membership dues are generally non-refundable.

  • Termination by Alliance: The Alliance may terminate a Member's membership for cause, including but not limited to, failure to pay dues, a breach of this Agreement or the Bylaws, or conduct that is detrimental to the Alliance's mission or reputation.

  • Termination For Convenience: Both Parties (Member and Alliance) have the right to terminate this agreement for any reason, such as changing circumstances or shifting priorities, without needing to prove a default or breach.

8. Limitation of Liability
The Member assumes all risks associated with its membership and participation in the Alliance. The Alliance shall not be liable to the Member for any damage or losses arising from membership, the use of benefits, or participation in any activities.

9. Indemnification
The Member agrees to indemnify and hold the Alliance, its officers, directors, and employees harmless from any and all claims, demands, losses, or liabilities, including reasonable attorneys' fees, arising from the Member's breach of this Agreement or violation of any law or the rights of a third party.

10. Dispute Resolution
Any disputes arising under this Agreement shall be resolved through mediation, followed by binding arbitration in accordance with the rules of the American Arbitration Association, or litigation in the courts of the State of Delaware.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

12. Entire Agreement
This Agreement, together with the Association's Bylaws and the Antique National Alliance Code of Ethics, constitutes the entire understanding between the parties and supersedes any prior agreements.
